The Small Change Foundation Children's Charity Rules of Association
1. Board: qualification
TSCF is ongoingly looking to deepen & strengthen its board.
To qualify to be a board member applicants are committed, driven, passionate, inspired individuals up for making a difference in the community.
Prospective members should be aligned with TSCF Vision, mission & goals.
Any formal, practical & theoretical experience & qualifications would be deemed most favourable.
2. Maintenance & inspection of the register of members
List of all Board & Committee Members will be published on TSCF website for public information.
3. Entrance fees, subscriptions etc
At present there are no fees of any kind required by TSCF members
4. TSCF rules as follows:
Election of members & committee;
Board members should always consist of a minimum of 5 members & 5 committee members.
a. Membership is through recommendation from an existing board member.
Existing board members may recommend prospective board member. Applicant is to submit a brief on who they are, what they do and why they wish to be part of TSCF for distribution to existing members for their consideration & review.
b. A term of office is 12 months to be automatically reinstated unless revocation or resignation of membership is recommended or requested.
c. Membership & committee positions;
i. may be voluntarily dissolved at anytime with one months notice if member is no longer able to fulfil their commitment as required.
ii. may be revoked immediately if a member acts in a matter outside of TSCF Charter, engages in any illegal or immoral activities or activities that potentially reflect negatively on TSCF as an organisation in any way.
d. Casual vacancies to be filled by invitation & recommendation
e. Quorum: The minimum members required being present for any valid TSCF Board Meeting, Committee meeting or General meeting is 3.
5. General Meetings Quorum & procedure
A minimum 3 Board members required at a general meeting.
A proposed meeting agenda will be distributed to all Members 2 weeks leading up to the date of meeting.
Recommendations may be put forward & distributed to Board, Committee & General members during this time by a member in case of their foreseeable absence at the meeting for discussion, consideration & vote by the committee body at the meeting.
TSCF employs a majority rules vote & Members may vote by proxy.
6. Timeliness
General meetings to be advised electronically 12 months in advance as voted at each AGM.
Committee meetings to be notified 2 months in advance or as deemed necessary.
All minutes, notices & motions to be published & circulated 2 weeks from date of decision.
7. Funding
TSCF is a self sustainable institution funded by grants, public donations & TSCF fundraising activities & projects.
8. Fund Management
Each fundraising activity will support a designated project. All funds raised will be channelled directly into said project & its associated costs.
The drawing & signing of cheques & management of all funds will be managed by 2 elected board members. No board member shall have the power to operate independently or as a sole representative of TSCF.
9. General Meetings
General meetings to be advised electronically 12 months in advance as voted at each AGM. Committee meetings to be notified 2 months in advance or as deemed necessary.
10. Statement of Purpose
The Statement of Purpose may be altered as deemed necessary over time to fit the changing purpose of TSCF. Recommendations may be put forwarded by any board or committee members for consideration & vote by all other board members.
11. Changes to The Rules of TSCF
The Rules may be altered, rescinded & added to as deemed necessary over time to fit the changing purpose of TSCF. Recommendations may be put forwarded by any board or committee members for consideration & vote by all other board members.
12. Common Seal
Presently n/a.
13. Custody of TSCF documents & securities
Copies of all TSCF to be held by each Board Member.
Securities to be held & managed by 2 nominated Board members.
14. Inspection of relevant TSCF documents by members
All relevant documents will be available for view on TSCF website
15. Wind up or Dissolution - distribution of surplus assets
Surplus assets will be distributed or sold off & distributed to projects currently & previously supported by TSCF.
16. Disciplinary procedures for members
We value, respect and seek to encourage diversity, and seek to be impartial and non- discriminatory in all our activities. To this end, we will have policies that promote diversity, gender equality, impartiality and non-discrimination in all our activities, both internal and external. TSCF practices zero tolerance with regard to any member failing to uphold this ruling and any member found to have not up held the rules of TSCF will be immediately suspended pending dismissal. Said member will have the right to respond to any allegations brought against them. Committee members will vote adhering to the majority rule policy.

Grievance to be distributed in writing to the Board & Committee by the Complainant covering;

- Member/s involved (2nd party)
- Desired outcome
The 2nd Party will be given the opportunity for rebuttal.
Committee will assess grievance based on information provided by each member, discuss recommended outcomes & vote. Decision will be final.
